Kotobase Service-Specific Terms

The following terms apply to the Kotobase Slack plugin and the services provided through the plugin (“Kotobase”) operated and provided to you by Fujitsu Launchpad Limited. (“Launchpad,” “we,” or “us”). Your use of and access to the Kotobase is subject to our Terms of Service (the “Terms of Service”), our Privacy Policy, and the following Kotobase Service-Specific terms (the “Specific Terms” and collectively, the “Terms”). 

When you download the Kotobase Slack plugin, you consent to our Terms of Service, these Specific Terms, and our Privacy Policy. Please take a moment to read all the Terms carefully because they are a binding agreement between you (“you” or “User”) and Launchpad. If you are accessing and/or using Kotobase as part of an organization, such as a company or a school, you represent have the legal capacity to enter into legally binding agreements on behalf of your organization, and any reference to “you” or “User” in the Terms, shall mean your organization, as the context may require. 

All capitalized terms used herein but not defined shall have the meaning set forth in the Terms of Service. In the event of a conflict between these Specific Terms and the Terms of Service with respect to Kotobase, these Specific Terms shall control.

Using Kotobase

Kotobase is a Slack Workspace plugin that leverages OpenAI’s large language model to translate Slack messages in real time. Originally developed by Launchpad as an internal tool, we use Kotobase to help our multilingual team collaborate seamlessly by improving communication efficiency and reducing miscommunication risks. We recognize that many organizations today operate in an increasingly global, multicultural, and multilingual environment, so we are making Kotobase available for others as well. We hope it helps your team as much as it has helped ours.

Access to Kotobase

Subject to your compliance with the Terms, we grant you a non-exclusive, non-sublicensable right to access and use Kotobase, which is made available for download through our landing page. We may also make Kotobase available to download on Slack Marketplace or other third-party websites and marketplaces. You acknowledge and agree that the availability of Kotobase may be dependent on third-party websites from which you download Kotobase, such as Slack Marketplace (a “Marketplace”). Each Marketplace may have its own terms and conditions that you must agree to before downloading Kotobase. In addition to your full compliance with our Terms, you agree to comply with, and your license to use Kotobase is also conditioned on your compliance with the terms and conditions of the applicable Marketplace. 

If you wish to stop using Kotobase, you can do this at any time by removing Kotobase from your Slack workspace. Removing Kotobase from your Slack workspace will not affect past Kotobase translations, and these will remain in Slack and will continue to be viewable.

System Requirements

Kotobase is a Slack Workspace plugin that utilizes the OpenAI API. In order to use Kotobase, you must first create or have access to a Slack workspace and have a valid OpenAI API key. Further, to add Kotobase to your Slack workspace, you must have the requisite authority to do so (i.e., being a workspace admin), and you must grant Kotobase the appropriate permissions to access your Slack workspace. Once Kotobase is added to your Slack workspace, your workspace admin must access the Kotobase app setting page in Slack and enter a valid OpenAI API key. Kotobase will not be functional unless a valid OpenAI API key is provided.

You are solely responsible for setting up an account with Slack, creating a Slack workspace, and procuring your own OpenAI API Key. You are also responsible for all fees charged by Slack and OpenAI in connection with your use of Slack and OpenAI API, as well as compliance with all applicable agreements, terms of use/service, and other policies of Slack and OpenAI. Further, you acknowledge and agree that Kotobase’s availability and performance are dependent on other factors that are solely in your control, such as the specifications of your device, your internet connection, and other related systems and equipment. 

Once Kotobase is added to your Slack workspace, your workspace admin will be able to configure Kotobase in accordance with your needs. You may add or remove admin users, change the default translation settings, or manage how Kotobase interacts with channels in your workspace. You must ensure that you configure Kotobase appropriately, as certain features and functions may not be available unless turned on in the admin panel. 

It is your responsibility to ensure that you have all required system elements and that they are compatible and properly configured. You acknowledge that Kotobase may not work as described when the system and compatibility requirements have not been met.

Limitations

Kotobase relies on or interoperates with numerous third-party products and services, including the ones identified above. We cannot and do not control the operations or availability of these third-party products and services, and issues with third-party products and services may impact the use and reliability of Kotobase. Amongst other things, your use of Kotobase will be affected during a Slack or OpenAI outage, by a Slack/OpenAI bug, if your OpenAI API key is invalid (e.g., if the key was deactivated or suspended due to a payment issue with OpenAI) or if your Slack account is terminated. The purpose of Kotobase is to provide a convenient translation tool to help multilingual teams communicate smoothly. We do not guarantee that Kotobase translations are 100% accurate or 100% reliable. Further, Kotobase is subject to certain limitations and may not provide accurate translations or provide a translation at all when:

  • The original message does not contain translatable content, such as a message containing only emojis or a URL.
  • The original message is missing a clear “subject” (this may be especially prominent in certain languages that omit pronouns).
  • The original message is missing important context because it is part of a series of messages (Kotobase will translate each message separately without considering the content of prior messages).
  • The original message contains substantial errors that make it difficult for Kotobase to accurately understand the content of the message.

Kotobase is not a professional translation service and cannot provide certification for the accuracy of its translations. Further, even though it leverages OpenAI’s large language model for translating messages, it may not be able to translate messages that require a high level of technical knowledge and background, such as complex legal or medical texts or texts containing technical jargon. You agree that you will not rely on Kotobase translations for critical purposes or for translations that require a certification of accuracy (e.g., notarized documents).

Privacy

Data protection and privacy laws where you live may impose certain responsibilities on you and your use of Kotobase. Further, your use of Kotobase may also be subject to the data privacy policies of third-party products and services, such as Slack or OpenAI. You agree that you are solely responsible for ensuring that you comply with any applicable laws and policies when you use Kotobase. For more information about how we use data collected or generated from Kotobase, please refer to the User Feedback and Data section below and our Privacy Policy.

Intellectual Property Rights

You acknowledge that all intellectual property rights, including without limitation copyrights, patents, trademarks, and trade secrets, in Kotobase are owned by Launchpad or our licensors. Your possession, access, and use of Kotobase do not transfer to you or any third party any rights, title, or interest in or to such intellectual property rights. Launchpad and its licensors reserve all rights not granted in our Terms. 

All intellectual property rights, including without limitation copyrights, patents, trademarks, and trade secrets, to the content in your Slack Workspace, such as Slack messages and files (“User Content”), will belong to you. Kotobase will only use User Content for the purposes of operating or improving Kotobase, such as providing translations, addressing technical support issues, or developing new features and services. We may also sublicense these rights to our service providers for the purpose of helping us achieve our purposes set out in this paragraph.

User Feedback and Data

From time to time, you may choose to, or we may invite you to submit comments, suggestions, or feedback about Kotobase, including how to improve its services and features (“Feedback”). By submitting Feedback, you agree that your Feedback is given voluntarily, gratuitously, and without any restrictions and we may use, copy, modify, publish, or redistribute Feedback and its contents for any purpose in our sole discretion without any compensation to you. You hereby grant us a nonexclusive, worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable right to access, display, or otherwise use your Feedback (including all related intellectual property rights).

In accordance with our Terms of Service, we monitor your use of Kotobase and collect data in relation to such use. We will own the intellectual property rights in such aggregated data, and you agree that we may use such data as permitted by applicable law, but not in a way that identifies you personally. 

You also grant us a worldwide, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to use the information, content, and data associated with your account or with your use of Kotobase (“User Data”). You agree that we may use User Data in connection with our operation and provision of the Services to our Users and for other business purposes relating to Kotobase, including but not limited to improving the performance and functionality of Kotobase, developing new features for Kotobase, and analyzing user behavior and engagement with Kotobase. Further, we may also use User Data to contact you or send you communications about Kotobase. For more information on how we use your personal information, please see our Privacy Policy.

Trademark 

“Kotobase,” the “Kotobase” logo, and other Kotobase-related trademarks and service marks and other logos and products and service names are trademarks of Kotobase belonging to Launchpad. You shall not copy, use, or display in any manner such trademarks and service marks without our prior written consent.

Changes to Kotobase

We are constantly improving Kotobase and may add, modify, or remove features and functionalities at any time in connection with these improvements without prior notice to our Users. If we make changes that materially and negatively impact the use of Kotobase or if we decide to cease offering Kotobase for use, we will provide you with reasonable advance notice. Currently, Users may use Kotobase free of charge, but we reserve the right to start charging a subscription fee or implement a different fee structure in the future. If we decide to begin charging a fee or change the fee structure, we will provide you with reasonable advance notice of these changes. If you do not wish to accept the changes, you can cancel your account and cease using Kotobase before the changes take effect.

Indemnification 

You agree to indemnify us and our affiliates and our officers, directors, employees, agents, successors, and assigns from and against any and all losses, claims, or expenses of whatever kind (including reasonable attorneys’ fees) (“Losses”) arising out of your negligence, willful misconduct or breach of these Specific Terms, and any third-party claim arising out of your access or use of Kotobase, or your infringement (including any third party using your account) of intellectual property rights of a third party.

Warranties and Disclaimers

KOTOBASE IS PROVIDED AS IS WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES OR REPRESENTATIONS OF ANY KIND. We do not guarantee that Kotobase will always be available for use or be uninterrupted, or free from errors. Nor do we guarantee that Kotobase translations will be accurate or reliable. If you are experiencing any technical difficulties using or accessing Kotobase, please contact the Kotobase support team. 

WE HEREBY EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE WILL NOT BE LIABLE FOR PENALTIES OR LIQUIDATED DAMAGES OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, PUNITIVE, EXEMPLARY OR INCIDENTAL DAMAGES OF ANY TYPE OR KIND (INCLUDING, WITHOUT LIMITATION, LOST PROFITS) REGARDLESS OF WHETHER ANY SUCH LOSSES OR DAMAGES ARE CHARACTERIZED AS ARISING FROM BREACH OF CONTRACT, BREACH OF WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES, OR IF SUCH LOSSES OR DAMAGES ARE FORESEEABLE. OUR TOTAL LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE SPECIFIC TERMS IS LIMITED TO US$100. NOTWITHSTANDING THE FOREGOING, TO THE EXTENT APPLICABLE LAW DOES NOT PERMIT SUCH LIMITATION OR EXCLUSION OF LIABILITY, SUCH LIMITATION WILL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Settling Disputes, Governing Law, and Courts

Japanese law will govern all disputes, legal actions and proceedings arising out of or relating to these Terms, or any Services we provide to you under these Terms, regardless of conflict of laws rules. Any such dispute will be resolved exclusively in the Tokyo District Court Japan, and you and Launchpad consent to personal jurisdiction in this court.

Changes to Specific Terms

We reserve the right to update these Specific Terms at any time and for any reason in our sole discretion. Any time we make changes to these Specific Terms, we will make the latest version available on our website at flp.studio/en/terms/kotobase. By continuing to use or access Kotobase, you manifest your agreement to the revised Specific Terms. If you do not agree to the changes, you may cease using Kotobase by removing it from your Slack Workspace.
